Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CrisisZone LLC ("Company," "we," "us," or "our"), governing your access to and use of the EMSCommand platform, including all associated websites, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization (such as an EMS agency, fire department, or municipality), you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

EMSCommand is a cloud-based agency management platform designed for Emergency Medical Services organizations. The Service provides tools for operational management, including but not limited to:

  • Shift scheduling and time-off management
  • Incident reporting and documentation
  • Quality assurance and improvement review
  • Vehicle and fleet management
  • Supply inventory tracking and restocking
  • Uniform catalog and request management
  • Controlled substance (narcotics) accountability logging
  • Regulatory compliance checklists and inspection logs
  • Continuing medical education (CME) tracking
  • Clinical reference tools (dose calculator, pediatric reference, burn calculator, APGAR scoring, S-LAMS stroke scale, CPR/OHCA tracker)
  • PCR narrative builder
  • Phone and hospital directory services
  • Notification and group messaging
  • Document and SOP management

We may add, modify, or discontinue features of the Service at any time with reasonable notice to active subscribers.

3. Account Registration

To use the Service, you must create an account. Agency administrators ("Directors") create the initial agency account and may invite additional members. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any purpose that violates applicable federal, state, or local law or regulation
  • Attempt to gain unauthorized access to the Service, other user accounts, or our underlying systems and infrastructure
  • Interfere with, disrupt, or place an undue burden on the Service or its connected networks
  • Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our prior written consent
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Share, resell, or sublicense your access to the Service to unauthorized third parties
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Service to store, transmit, or process data in violation of any applicable data protection or privacy laws

5. Clinical Tools Disclaimer

The clinical reference tools provided within EMSCommand — including but not limited to the drug dose calculator, pediatric reference, burn calculator, APGAR scoring tool, S-LAMS stroke scale, and CPR/OHCA tracker — are informational reference aids only.

These tools are not medical devices, are not FDA-cleared or approved, and are not a substitute for professional clinical judgment, proper medical training, established treatment protocols, or the guidance of a licensed medical director.

EMS providers must always:

  • Follow their agency's approved protocols and standing orders
  • Adhere to the direction of their medical director
  • Exercise independent clinical judgment appropriate to their certification level
  • Verify all drug dosages, calculations, and clinical information through authoritative sources before administering any treatment

CrisisZone LLC makes no warranties regarding the accuracy, completeness, or timeliness of clinical reference information and accepts no liability for clinical decisions made using these tools. Any reliance on the clinical tools is at the user's own risk.

6. Agency Data Ownership

Your agency retains full ownership of all data entered into the Service ("Agency Data"), including personnel records, scheduling information, incident reports, compliance records, inventory data, and all other content you create or upload.

By using the Service, you grant CrisisZone LLC a limited, non-exclusive license to host, store, process, and display your Agency Data solely for the purpose of providing and improving the Service. We will not sell, share, or use your Agency Data for any purpose other than delivering the Service, except as required by law.

Upon termination of your subscription, you may request an export of your Agency Data. We will make your data available for export for a period of thirty (30) days following termination, after which it may be permanently deleted.

7. Intellectual Property

The Service, including its design, code, features, documentation, and all associated intellectual property, is owned by CrisisZone LLC and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on the Service or any of its components without our prior written consent. The EMSCommand name, logo, and all related marks are trademarks of CrisisZone LLC.

Nothing in these Terms transfers any intellectual property rights to you, except the limited right to use the Service as described herein.

8. Subscription and Fees

Access to the Service may require a paid subscription. Pricing, billing frequency, and payment terms are established in a separate subscription agreement or order form between your agency and CrisisZone LLC.

Unless otherwise specified in your subscription agreement:

  • Fees are billed in advance on a recurring basis (monthly or annually)
  • All fees are non-refundable except as expressly stated in your agreement
  • We may modify pricing with at least thirty (30) days' written notice before the next billing cycle
  • Failure to pay may result in suspension or termination of access to the Service

9. Termination

Either party may terminate the subscription in accordance with the terms of the applicable subscription agreement. Additionally:

  • By you: You may stop using the Service and request account deletion at any time by contacting us at hello@emscommand.com
  • By us: We may suspend or terminate your access immediately and without notice if you materially breach these Terms, engage in unlawful activity, or pose a security risk to the Service or other users

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall survive.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CrisisZone LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, loss of business opportunity, or damages arising from reliance on clinical reference tools, regardless of the cause of action or theory of liability.

Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the total fees paid by you to CrisisZone LLC during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Disclaimer of Warranties

The Service is provided on an "as-is" and "as-available" basis. CrisisZone LLC makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the results obtained from use of the Service will be accurate or reliable.

12. Indemnification

You agree to indemnify, defend, and hold harmless CrisisZone LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any data or content you submit, post, or transmit through the Service
  • Clinical decisions made using or referencing the Service's tools

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of such courts.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, for active subscribers, by providing notice through the Service or via email.

Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you should discontinue your use of the Service.

15. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and CrisisZone LLC regarding the Service.

Waiver: The failure of CrisisZone LLC to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
